These Terms of Service ("Terms") govern your access to and use of DG Cortex ("we", "us", or "our"), including our voice agent at our published phone number, our mobile application, our website at dg-cortex.com, and related services (collectively, the "Service"). By using the Service, you agree to be bound by these Terms.
You must be at least 13 years of age to use the Service. By using the Service, you represent that you meet this requirement and that the information you provide is accurate and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@dg-cortex.com if you suspect unauthorized access.
Program description. DG Cortex offers a transactional SMS program. Every text is one you requested or turned on: a link to download the DG Cortex mobile app when you verbally request it during a call with our voice agent, the briefings and results you switch on in the mobile app (Personalize › Preferences › How Cortex reaches you), replies when you text Cortex, and texts you ask Cortex to send on your behalf to people you choose. We do not send marketing or promotional text messages.
How consent is collected. During the call, our voice agent reads the following disclosure aloud: "Would you like me to text you a link to download the DG Cortex app? Message and data rates may apply, and you can reply STOP at any time to opt out." The SMS is sent only if you verbally say yes. The audio of your consent and a timestamped opt-in record are retained as proof of consent. In the mobile app, you consent by verifying your phone number and turning texts on; the disclosure shown there states what Cortex will text, that message and data rates may apply, and that you can reply STOP at any time.
Message frequency. Depends on what you turn on: one text when you request a download link or ask Cortex to send a text, and up to a few texts a day while briefings and results are on. Texts stop when you switch them off in the app or reply STOP.

To opt out: reply STOP to any message we send, switch texts off in the app, or revoke consent verbally on any future call. You will receive a single confirmation message and no further SMS.

The Service and all content, features, and functionality are owned by DG Cortex and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.
Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
The Service may integrate with third-party services, including our SMS delivery provider (Twilio, Inc.). Your use of those services is also governed by their respective terms and privacy policies. DG Cortex is not responsible for the practices of any third-party services.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DG CORTEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA OR PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless DG Cortex and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 5, 8, 9, 10, and 13 survive termination.
We may update these Terms from time to time. Material changes will be posted with an updated effective date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in San Francisco County, California.
